Founded in 1994 as a value-tier division of Gap Inc., it quickly became a retail powerhouse, reaching $1 billion in sales within its first four years. The brand was originally conceived as 'Gap Warehouse' before being rebranded to Old Navy to establish a distinct identity from its parent company.

Today, Old Navy operates as a primary division of Gap Inc. and maintains its corporate headquarters in San Francisco, California. While the brand is American, its manufacturing is globally distributed to balance cost and production scale. Most products are manufactured in countries across Asia and Central America, including Vietnam, Indonesia, India, Bangladesh, Sri Lanka, and China. A very small portion of specialized or premium items may occasionally be produced in the United States.

Ownership remains with Gap Inc., which is a publicly traded multinational corporation. Although there was a planned spin-off in 2019 to make Old Navy an independent company, Gap Inc. officially canceled these plans in early 2020, ensuring Old Navy remains an integral part of its brand portfolio alongside Gap, Banana Republic, and Athleta.
